Special Resolution of 13 November 2009 - Past President and Gender changes

That the Articles of Association be amended as follows:

Constitutional changes for the role of Past President
Changes are highlighted, italic and bold.

COUNCILLORS AND MANAGEMENT OF THE SOCIETY

14. The Society and the business affairs and property thereof shall be managed by the Council, comprised of nine Councillors as follows:

(a) President
(b) Vice President (President Elect)
(c) Past-President
(d) Six other Councillors

15. (a) President:

The President shall preside at all meetings of the Society and shall be Chairman of all meetings of the Council. Subject to (c) and (d) below and to Clause 20 the President shall hold office until the second Annual General Meeting after his election when he shall retire from such office and not be eligible for re election as President for 2 years.

(b) Vice President (President-Elect):

The Vice President (President-Elect) shall assist the President in the performance of his duties and shall preside at any meeting at which the President is not present. In the event of the death or disability of the President the Vice President (President-Elect) shall assume the duties of Acting President. Subject to (c) and (d) below and to Clause 20 the Vice President (President-Elect) shall hold office until the second Annual General Meeting after his election when he shall assume the office of President.

(b) (ii) Past-President:

Not withstanding anything to the contrary herein contained, upon the Retirement of the President he/she shall become the Past-President and a Councillor of the Society and shall hold office until the second Annual General Meeting after his/her becoming Past-President when he/she shall retire from such offices.

 

Ammendments to constitution re: Gender

Article 13 (i) Delete the word “his” wherever appearing and substitute the words “his/her”.

Article 13 (k) Delete the word “his” and substitute the words “his/her”.

Article 13 (l) Delete the word “him” and substitute the words “him/her”.

Delete the word “me” and substitute the words “me/it”.

Delete the word “he” and substitute the words “he/she/it”.

Delete the word “his” and substitute the words “his/her/its”.

Article 15 (b) (i) Delete the word “his” and substitute the words “his/her”.

Delete the word “he” and substitute the words “he/she”.

(b) (ii) Delete the word “he” and substitute the words “he/she”.
Delete the word “his” and substitute the words “his/her”.

Article 16 Substitute the words “he/she” for the word “he” wherever appearing.

Article 17 Substitute the words “his/her” for the word “his” and “he/she” for the word “he”.

Article 20 (a) Substitute the words “he/she” for the word “he”.

Article 22 Substitute the words “his/her” for the words “his”.

Article 23 (b) Substitute the words “his/her” for the word “his”.

Article 23 (c) and (d) Substitute the words “his/her” for the word “his” and the words “he/she” for the word “he” wherever appearing.

Article 24 Substitute the words “his/her” for the word “his”.

Article 28 Substitute the words “his/her” for the word “his”

Article 32 Substitute the words “his/her” for the word “his” and the words “he/she” for the word “he” wherever appearing.


Article 45 Substitute the words “his/her” for the word “his” wherever appearing.

Article 46 Substitute the words “him/her” for the word “him” wherever appearing, the words “his/hers” for the word “his” and the words “he/she” for the word “he”.

Article 48 Substitute the words “him/her/it” for the words “him” wherever appearing, the words “he/she” for the word “he” and the words “his/her” for the word “his”.

Article 49 Substitute the words “him/her” the word “him” wherever appearing.

Article 50 (a) Substitute the words “them/it” for the word “them”.
